Arbitral Tribunal declares 2023 Gift Deeds void, directs transfer of flats and awards ₹8.65 lakh costs to claimant

In a landmark arbitration ruling in Mumbai, a Sole Arbitrator has upheld a binding Family Settlement and set aside subsequent Gift Deeds, reaffirming the legal sanctity of family arrangements in property disputes. The decision marks a significant victory for the Claimant, represented by Adv. Sulaiman Bhimani and Adv. Sharon Fernandez of The Law Suits, who successfully secured enforcement of the family settlement and consequential reliefs.

The Award was passed by learned Sole Arbitrator Mr. Dilip G. Jhangiani in a dispute involving ownership rights over four residential flats situated at Raheja Classique, Andheri (West), Mumbai.

Background of the Mumbai Property Dispute: The dispute arose within the Daryanani family concerning four flats bearing Nos. 105, 106, 107 and 108. These properties were governed by a Family Settlement dated 15 May 2010, along with an addendum dated 13 July 2010, executed to ensure peaceful distribution of assets and avoid future disputes.

Under this arrangement, specific rights were allocated among family members, and the settlement was acted upon by the parties over time.

However, the dispute was triggered when four Gift Deeds dated 26 May 2023 were executed by the mother in favour of one of the siblings, allegedly in violation of the agreed family arrangement.

Arbitration Proceedings and Legal Issues: The Claimant invoked arbitration under the Family Settlement, challenging the validity of the Gift Deeds and seeking enforcement of his rights.

The core legal issues before the Tribunal included whether the Family Settlement was valid and binding, whether the Gift Deeds could override the settlement, and whether the impugned transfers were legally sustainable.

The Claimant, represented by The Law Suits, argued that the Gift Deeds were contrary to the binding settlement and liable to be set aside, while the Respondents contested the enforceability of the settlement and defended the validity of the transfers.

Tribunal Upholds Family Settlement as Binding: After detailed examination of pleadings, documentary evidence, and cross-examination, the Tribunal held that the Family Settlement dated 15 May 2010 along with its addendum dated 13 July 2010 is valid and binding upon all parties.

The Arbitrator recognised that the settlement governed the rights and obligations of the parties and could not be disregarded by unilateral actions.

Gift Deeds Declared Null and Void: In a decisive ruling, the Tribunal held that the Gift Deeds dated 26 May 2023 were contrary to the Family Settlement and therefore unsustainable in law.

All four Gift Deeds executed in respect of Flats Nos. 105, 106, 107 and 108 were set aside and declared null and void, and the Tribunal further clarified that such deeds do not bind the Claimant or affect his rights under the Family Settlement.

Direction to Transfer Flats to Claimant: Granting substantive relief, the Tribunal directed Respondent No. 2 to transfer all rights, title and interest in Flats Nos. 105 and 106, along with corresponding society shares, in favour of the Claimant.

The transfer is to be effected through execution of a Deed of Release / Transfer, thereby ensuring full legal ownership in favour of the Claimant.

Arbitration Costs Awarded: In addition to granting declaratory and mandatory reliefs, the Tribunal awarded ₹8,65,625 towards arbitration costs in favour of the Claimant, payable by Respondent No. 2.

Legal Significance of the Judgment; This Mumbai arbitration ruling reinforces the principle that family settlements carry strong legal enforceability, particularly when acted upon by the parties. The decision makes it clear that subsequent transactions, even if registered, cannot override a binding family arrangement.

The Award also highlights the effectiveness of arbitration as a dispute resolution mechanism in complex family property disputes involving competing claims and documentary evidence.
